1. Acceptance of Terms

Openable.io is a trading name of TH3 Design Ltd, a company registered in England and Wales (company number 07198512), C4DI, Queen Street, Hull, HU1 1UU, United Kingdom ("Openable", "we", "us"). By accessing or using the Openable.io website, the Openable AI messaging platform, or the Cookie Consent Banner plugin (together, the "Service"), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our Service.

2. Description of Service

Openable.io provides two products:

  • AI Messaging for Shopify: an AI-powered messaging platform for Shopify store owners that automates customer engagement through SMS and WhatsApp to help recover abandoned carts, increase conversions, and boost revenue.
  • Cookie Consent Banner for WordPress (the "Plugin"): a downloadable WordPress plugin that displays a cookie consent banner, integrates with Google Consent Mode v2 and the WP Consent API, and records consent decisions.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. By using our Service, you represent that you meet these requirements.

4. Account Registration

To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your login credentials and licence keys and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

5. Plugin Licence

When you purchase the Plugin, we grant you a non-exclusive, non-transferable licence to install and use the Plugin on up to five (5) websites that you own or manage, subject to these Terms. A website is counted by its domain name; removing the licence from a site through the plugin's Licence page frees that slot. Two licence types are available:

  • Monthly licence: valid while your subscription is active. Includes use on up to five websites, all updates released during the subscription, and email support.
  • Lifetime licence: a one-off payment for perpetual use on up to five websites, including all future updates and priority email support for as long as we maintain the Plugin.

You may not:

  • Resell, sublicense, rent, or redistribute the Plugin or your licence key, or share your licence key publicly.
  • Remove or alter any copyright, licensing, or attribution notices contained in the Plugin.
  • Use the Plugin to build a competing cookie consent product.

Agencies may install the Plugin on client websites they manage within the site allowance, provided the agency remains responsible for those installations. If the licence ends, the Plugin may continue to run but will no longer receive updates or support.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Send spam, unsolicited messages, or content that violates anti-spam regulations.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any aspect of the Service, except to the extent permitted by applicable law.

7. Intellectual Property

All content, features, and functionality of the Service, including text, graphics, logos, software, the Plugin's source code, and AI models, are the exclusive property of Openable.io and are protected by intellectual property laws. Purchasing a Plugin licence grants you the right to use the Plugin as described in these Terms; it does not transfer ownership. You may not reproduce, distribute, or create derivative works without our written consent.

8. Payment & Billing

Payments are processed securely by Stripe. We do not store your full card details. Prices are shown in pounds sterling (GBP) and, unless stated otherwise, exclude any applicable VAT or sales tax.

  • Subscriptions (including the AI Messaging platform and the Plugin's monthly licence) are billed in advance on a recurring basis and renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period and no partial refunds are given for unused time.
  • One-off purchases (the Plugin's lifetime licence) are charged once at checkout.
  • Free trials of the AI Messaging platform convert to a paid plan only if you choose one; no card is required to start a trial.

We reserve the right to modify pricing with reasonable notice. Price changes do not affect a lifetime licence already purchased.

9. Refunds & Money-Back Guarantee

Every Plugin purchase (monthly or lifetime) is covered by a 14-day money-back guarantee. If you are not satisfied for any reason, email us at support@openable.io within 14 days of your first payment and we will refund it in full. After a refund, your licence key is deactivated and you must remove the Plugin from your sites.

Outside the guarantee period, and for the AI Messaging platform, fees are non-refundable unless otherwise stated or required by law. Nothing in these Terms affects your statutory rights as a consumer.

10. Updates & Support

We aim to keep the Plugin compatible with current versions of WordPress and with Google's Consent Mode requirements, and to provide email support within a reasonable time. We may add, change, or remove features of the Service. We are not obliged to provide support for modified copies of the Plugin, for installations on unsupported WordPress versions, or after a licence has ended.

11. Your Compliance Responsibilities

The Plugin is a tool to help you collect and record cookie consent. It does not by itself make your website compliant with the GDPR, UK GDPR, the Privacy and Electronic Communications Regulations, or any other law. You remain responsible for:

  • Configuring the Plugin correctly, including categories, text, and which scripts are blocked until consent is given.
  • Maintaining an accurate privacy and cookie policy for your website.
  • Ensuring any third-party scripts or plugins on your site respect the consent signals the Plugin provides.
  • Handling consent-log data in your WordPress database in line with your own data protection obligations.

Likewise, users of the AI Messaging platform are responsible for obtaining valid marketing consent from their customers and for complying with SMS and WhatsApp messaging rules in the countries they message.

12. Limitation of Liability

To the fullest extent permitted by law, Openable.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, or data, or any regulatory fines or penalties, arising out of or related to your use of the Service. Our total liability to you for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted or error-free, that the Plugin will be compatible with every theme or plugin, or that results achieved through AI-powered messaging will meet your expectations.

14. Termination

We may suspend or terminate your access to the Service, including deactivating a Plugin licence key, at our discretion for conduct that we believe violates these Terms or is harmful to other users or our business. Where we terminate a paid licence without cause, we will refund any unused portion of a monthly subscription or a pro-rata amount of a lifetime licence as we reasonably determine.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales, except that consumers may also bring claims in the courts of their country of residence where the law requires.

16. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated through the Service or via email. Continued use of the Service after changes constitutes acceptance of the revised Terms.
